C -5 -3312 <br />2 BETWEEN <br />3 ORANGE COUNTY TRANSPORTATION AUTHORITY <br />4 AND <br />5 CITY OF SANTA ANA <br />6 FOR <br />�) 7 RAIL - HIGHWAY GRADE CROSSING SAFETY ENHANCEMENTS <br />8 AND <br />9 SAFETY MEASURES RELATED TO QUIET ZONE IMPLEMENTATION FOR CITIES <br />10 THIS COOPERATIVE AGREEMENT (Agreement), is effective this `" day of <br />11t S 2015, by and between the Orange County Transportation Authority, 550 South <br />12 Main Street, P.O. Box 14184, Orange California 92863 -1584, a public corporation of the State of <br />13 California (herein referred to as "AUTHORITY') and the City of Santa Ana, 20 Civic Center Plaza, <br />14 Santa Ana, CA (hereinafter referred to as "CITY') each individually known as "Party" and collectively <br />15 known as the "Parties ". <br />16 RECITALS: <br />17 WHEREAS, AUTHORITY and CITY entered into Cooperative Agreement No. C -8 -0862 dated <br />18 October 20, 2008 for the rail highway grade crossing safety enhancements and safety measures <br />19 related to quiet zone implementation (Project); and <br />20 WHEREAS, AUTHORITY and the CITY agreed to a cost saving formula of 88 percent by the <br />21 AUTHORITY and 12 percent by the CITY for the Project under the original Agreement (C -8- 0862); and <br />22 WHEREAS, said Agreement (C-8 -0862) expired following completion of the scope of work but <br />23 prior to determination and invoicing of final project costs by the AUTHORITY; and <br />24 WHEREAS, AUTHORITY and CITY agree to enter into this cooperative agreement to allow <br />25 AUTHORITY for final invoicing to the CITY for the outstanding portion of its twelve percent (12 %) share <br />26 of costs related to the rail highway grade crossing safety enhancements and safety measures related to <br />Page 1 of 7 <br />
