OCTA MEMORANDUM OF UNDERSTANDING NO. C-5-3295 <br />6. OCTA is responsible to meet all of the requirements of the Federal Transit <br />Administration associated with the funding received, which is anticipated to be New <br />Starts program funding. <br />7, Santa Ana shall deliver to OCTA, the completed and approved environmental <br />document for Project, including all supporting engineering and technical drawings and <br />reports. <br />8. Disputes on the terms of this MOU shall be resolved at the lowest possible level. If a <br />dispute cannot be resolved, it shall be elevated promptly to the next resolution level. <br />The three levels of dispute resolution shall be at both agency's project manager level <br />(lowest), executive director level, and Chief Executive Officer/City Manager level <br />(highest). <br />SECTION 4 PROJECT MANAGEMENTIADMINISTRATION <br />1. OCTA shall develop procedures for meetings, project controls, contracts and <br />procurements, quality, safety, invoicing, reporting, and risk assessments. <br />2. OCTA shall be responsible for all procurement activities required for the Project. <br />Santa Ana will have one (1) representative on the consultant selection/evaluation <br />committee on the following procurements: design services, construction management <br />and outreach. The Santa Ana representative shall be available for the procurement <br />activities as scheduled. <br />OCTA shall conduct a regularly scheduled meeting, weekly or as otherwise agreed to, <br />to provide a forum with the City to discuss all aspects of the Project. <br />4, OCTA shall establish a senior level committee focused on the successful delivery of <br />the Project. The scope of the committee shall be any and all issues that may impact <br />the Project's budget, schedule, quality, and compliance with the terms and conditions <br />of this MOU and subsequent agreements. The committee should include, at <br />minimum, the City Public Works Director as well as OCTA's Executive Director of <br />Capital Programs. <br />SECTION 5 FINANCIAL <br />Mum= <br />OCTA is responsible for securing and administering all funding, including federal, state, <br />and local funding, for all phases of the Project. <br />L:\Camm\CLERICAL\WORDPROC\AGREE\ag53295 SA OCTA MOU—Final 06.30.2015MOU.docx <br />
