Any party may from time to time, by written notice to the other, designate a different address that shall be substituted for that specified above. 3. Counterparts. This Amendment maybe executed in any number of counterparts and by the parties hereto in separate counterparts, each of which when so executed shall be deemed to be an original and all of which taken together shall constitute one and the same agreement. 4. Headings. The headings in this Amendment are for convenience of reference only and shall not limit or otherwise affect the meaning hereof. 5. Governing Law. This Amendment shall be governed by and construed in accordance with the internal laws of the State of California applicable to agreements made and to be performed within the state. 6. Entire Agreement, This Amendment and the JPA Agreement arc intended by the parties as a final expression of their agreement and is intended to be a complete and exclusive statement of the agreement and understanding of the parties hereto in respect of the subject matter contained herein. This Amendment supersedes any and all prior restrictions, promises, representations, warranties, agreements, understandings and undertakings between the parties with respect to such subject matter. 7. Attornevs' Fees. As of January 1, 2010, paragraph 9 of the JPA Agreement is deleted, and shall be null and void for all purposes. 11
