development of the program; and the New Traffic Study as described <br />in the settlement agreement shall also serve as a document repre- <br />senting a working basis for development of the program. <br />The program shall serve as a guide to the governing <br />board in the exercise of its discretion to approve Eligible <br />Projects for expenditure of Authority money. <br />C. The Authority is empowered and bound to im- <br />plement the settlement agreement attached hereto as Exhibit "B ", <br />( "Settlement Agreement. ") In the event of any inconsistency <br />between the provisions of this joint powers agreement and the <br />Settlement Agreement, the provisions of the Settlement Agreement <br />shall prevail. <br />D. Consultant Aareements <br />The governing board may approve contracts on behalf of <br />the Authority to obtain the services of professional consultants <br />to assist the Authority in the exercise of the abovesaid powers. <br />Payments pursuant to any such contract shall be an authorized <br />expenditure of Authority money. <br />E. Incidental Powers <br />The Authority, by and through its governing board, is <br />hereby authorized, in its own name, to do all acts necessary, <br />convenient or appropriate for the purposes set forth hereinabove. <br />5.
