of the Project as well as major arterial streets in the City of <br />Orange that could be impacted by the redevelopment of the <br />Project. The New Traffic Study shall recommend measures for <br />mitigating such traffic and parking impacts, which mitigation <br />measures may or may not exceed the mitigation measures required by <br />the EIR. The New Traffic Study shall recommend mitigation <br />measures for each of the "Phases" (as defined in paragraph 5(D) <br />hereof). It is agreed that Orange has the right to select the <br />consultant to prepare the New Traffic Study, provided, however, <br />that the JPA may veto such selection so.long as the veto is not <br />unreasonably exercised. The JPA shall not be deemed to <br />unreasonably exercise its veto if such veto is based on the fact <br />that the proposed traffic consultant is one who is not nationally <br />recognized or qualified'by virtue of the fact that such consultant <br />does not have substantial experience in major regional mixed use <br />projects in urban areas. <br />3. Pursuant to the.Joint Powers Agreement, Santa Ana <br />and Orange agree that a fee of 1% of the cost of development for <br />any development occurring within the TSIP area and impacting the <br />traffic system therein, and which limits the expenditure of such <br />fee revenues to transportation system improvements benefiting said <br />area (the "TSIP Fee "), shall be paid to and administered by the <br />JPA. Neither Orange nor Santa Ana shall be required to deposit <br />with the JPA any fees heretofore collected in connection with the <br />Transportation Systems Improvement Agreement' entered into between <br />Orange and Santa Ana in 1981. <br />3 0393S <br />
