t <br />leasable square feet of retail and /or office space, but is less <br />than 2,300,000 net leasable square feet of retail and /or office <br />space. <br />The phrase "Third Phase Of The Project" refers to.any <br />improvements on the Project Site which exceed 21300,000 net <br />leasable square feet of retail and /or office space, but is less <br />than 3,100,000 square feet of retail and /or office space. <br />The phrase "Hotel Phase Of The Project" refers to any <br />development on the Project Site of any hotel. <br />Prior to the JPA drawing upon any letter of credit, Orange <br />shall provide the JPA at least thirty (30) days' preliminary <br />notice ( "Notice "). A copy of such Notice shall be concurrently <br />delivered to Santa <br />Ana <br />and'Venture. <br />The Notice shall <br />set <br />forth <br />with particularity <br />the <br />mitigation measures <br />required to <br />be <br />taken <br />and the amount of funds necessary to pay therefor. <br />During such thirty (30) day period the JPA shall review <br />such mitigation measures and the cost thereof and'determine <br />whether the conditions set forth below have been satisfied. <br />Santa Ana and Orange agree to cooperate with each other <br />and join in applying for federal, state, and county funds and <br />grants, as hereinafter provided to help pay for such mitigation <br />measures prior to the JPA drawing down on any letter of credit. <br />6 0393S <br />
