<br />GENERAL TERMS AND CONDITIONS
<br />1. PRICE / QUOTE EXPIRATION:
<br />The enclosed quote is valid for 90 days from date of quote. An acceptance of this quote after the 90 days may be subject to revision to accommodate for such
<br />things as material price changes or production scheduling Issues of the seller. All changes will be reflected In writing In either a revised quote or change order
<br />to the original quote.
<br />1.1 PAYMENTTERMS
<br />Payment Terms of the Agreement must be followed. In the event that the payment terms are not followed according to the agreement the full balance of the
<br />contract will be payable prior to installation of sign(s).
<br />2.1 PERMITS AND LICENSES:
<br />Seller shall obtain, as Buyer's agent, all original permits and licenses from public authorities for the installation of the Display. Buyer shall obtain the
<br />necessary permits from the owner of the premises and others, exclusive of public authorities, whose permission is requisite for the Installation of the display,
<br />and shall be responsible that such permission shall not be revoked. Revocation of any permit required for installation and maintenance of display shall not
<br />relieve Buyer from the payment of all sums due in accordance with the terms of this agreement. In cases where Cities have special requirements such as
<br />lighting In attics, cat - walks, additional access doors, etc., Seller will provide such extras where possible at additional labor charge of $85.00 per hour, plus
<br />materials as required.
<br />2.2 PERMIT FEES:
<br />Seller shall obtain permits and licenses as required by authorities for display. The cost of permits and licenses plus a permit service fee $85.00 per hour will
<br />be paid by Buyer. If city Inspectors require that Sellers be present at time of inspection of signs an additional $88.00 per hour will be charged for the Inspection
<br />time.
<br />3. ELECTRICAL CONNECTION:
<br />Buyer shall provide electrical of suitable capacity (110 volts), to Dispiayls location. Should electrical not be available at time of installation $120.00 per hour
<br />will be charged If we are required to return to connect such display Where this contract is for refurbishment of existing signage the contract price does not
<br />Include electrical repairs. Electrical repairs include replacement of ballasts, transformers, lamps, neon units, sockets, switches, housings and wiring, as well
<br />as the labor charge will be billed at our current labor and material rates.
<br />4. TITLE:
<br />Ownership of Display shall remain with Seller until all payments are made, at which time Buyer shall be vested with full title to Display, Neither the loss of,
<br />injury to, or destruction of Display nor institution of suit or procurement of judgment thereon, while in the possession of Buyer or its agents, shall operate as
<br />payment or as a transfer of title to Buyer.
<br />S. PRODUCT DELIVERED TO SITE:
<br />All signs delivered to site and either Installed or staged shall be the responsibility of the buyer, Seller shall not be held responsible for damages due to
<br />vandalism, accidental damage other than that caused by an employee of seller, theft, or acts of god. If installation Is to take place over multiple days, buyer is
<br />required to provide a secure environment in which to stage signs.
<br />e. DEFAULT:
<br />I In the event of any breach by Buyer of any of the covenants and agreement herein contained, or If during the term of this agreement or any extension
<br />thereof, Buyer makes an assignment for the benefit of creditors, of if a receiver Is appointed to take possession of the business of Buyer, or if action is taken
<br />to accomplish this end, or if Buyer sells or files, or there is fled on his behalf, notice of Intention to sell In bulk, or transfer said business or a material part
<br />thereof, voluntarily or involuntarily, Seller at its option and without notice to Buyer may declare the entire unpaid balance of the purchase price herein
<br />Immediately due and payable and as permitted by law (a) sue for same, or (b) Seller may without notice, demand or legal process immediately take
<br />possession of display and (1) retain it and all payments in satisfaction of the balance or (2) sell it at either public or private sale and pay any surplus to Buyer
<br />after deducting all expenses of repairing, reconditioning or preparing the goods for sale. Retaking and sale of all or any pad of the display shall not operate to
<br />release Buyer from the obligation to pay in full all amounts herein agreed to, and if the amount realized on sale is less than the obligation due, Seller may hold
<br />Buyer for any resulting deficiency, including the cost of retaking and selling display. Should Seller take possession of display, all rights of Buyer under this
<br />agreement shall immediately terminate and all payments theretofore made shall belong absolutely to Seller as compensation for the depreciation In value and
<br />for the use of display, and Buyer shall pay to Seller all installments then delinquent plus the cost of retaking display. In case Seller shall employ an attorney to
<br />recover display to collect any sum due under this agreement, Buyer promises to pay reasonable attorney's fees to be fixed by the court. All overdue payment
<br />shall bear interest at the rate 18% per annum. Buyer expressly waives any and all rights to notice or hearing prior to removal, whether such removal shall be
<br />effected by Seller, Its agents or representatives, or pursuant to legal process.
<br />7. REMOVAL OF DISPLAY:
<br />Display shall at all times be deemed personal property, and shall not by reason of attachment or connection to any realty, become or be deemed a fixture or
<br />appurtenance to such realty and shall at all times be severable therefrom, and shall be and retain at all times, the property of Seller, free of any claim or right
<br />of Buyer, except as set forth herein, Seller shall have the right to enter the premises to Inspect, repair or remove Display.
<br />8. DELIVERYAND PERFORMANCE:
<br />Seller shall commence the construction of Display and execute the work thereon with due diligence until completion, All obligations to be performed by Seller
<br />hereunder shall be subject to delay or failure resulting from war, fire, labor disputes, unforeseen commercial delays, acts of Gad, regulations or restrictions of
<br />the Government or public authorities, Including obtaining of permits, or other accidents, forces, conditions or circumstances beyond its control. Seller shall not
<br />be liable for any consequential damages as a result of late delivery /Installation of Display. In the event that Buyer decides to cancel or postpone installation of
<br />sign, Buyer will Immediately be responsible for the Full contract price as well as storage costs.
