<br />7. Equipment provided by Speaker/Performer: all Santa Claus supplies/attire.

<br />9. Independent Contractor: Speaker/Performer shall, during the entire tern) of this A„ reement, be construed to be an
<br />independent Contractar and trot an cmtplayee al'tbe City. 'Phis Agreement is not untended nor shall it be conshzted
<br />to o cafe an employer-employee relationship, ajoint venhue rclatimiship, or to allow the City to exercise discrctirm
<br />or control over (lie professional marmrrin which Speaker/Pcrfoimer performs the services that are tile subject matter
<br />ofthis Agreement, however, the services to be provided by Speaker/Performer shall be provided in a mariner
<br />comistent with all applicable standards and regulations, Speaker/Perfoiner shell pay all salaries and lvages,
<br />ertrpkoyer's social security taxes, unotnpioyment insurance and similar taxes relating to employees and shall be
<br />responsible for all applicable withholding taxes.
