tNShh&fANU OR BLE N-2015-161-001 <br />@M14� K a�War PROCEED <br />C MURARGE EMPIRE& <br />CLERK OF i:OURCKI� FIRST AMENDMENT TO <br />DATE, DEC 1 6 DAVID MORSE & ASSOCIATES AGREEMENT <br />�.,%,"o (0 <br />` U`" Ol THIS FIRST AMENDMENT to the above-refercuced agreement is made and entered into on <br />November 30, 2015 by and between David Morse & Associates ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing wider the Constitution and laws of <br />the State of California ("City"). <br />RECITALS <br />A. The parties entered into the David Morse & Associates Agreement #N-2015-161, dated October <br />14, 2015 ("Agreement"), by which Consultant agreed to provide investigation and surveillance <br />services in litigation matters to the City. <br />B. The term of the Agreement is for a period of two years, from September 23, 2015 through <br />June 30, 2017, and the Agreement remains in effect. <br />C. Consultant represents that it is able and willing to provide such services to the City and has <br />done so since 2011. <br />D. This First Amendment to the Agreement is intended to provide payment for unpaid sums <br />receivable by Consultant for services provided between June 14, 2015 up to and including <br />September 22, 2015, that were incurred prior to the commencement date of the Agreement. <br />This First Amendment is specifically authorizing payment of the prior services to assist the <br />continued, uninterrupted, and valuable services provided by Consultant. <br />The Parties therefore agree: <br />1. Section 2, Compensation, City agrees to pay, and Consultant agrees to accept as total payment for <br />its services, the rates and charges identified in Exhibit A. The total sum to be expended under this <br />Agreement shall not exceed $25,000.00 for the initial Agreement period covering September 23, <br />2015 and ending June 30, 2017, and any unpaid sums receivable by Consultant for the prior period <br />services commencing June 14, 2015 up to September 22, 2015 will be paid against that $25,000,00. <br />Any services provided during the annual fiscal year beginning July 1, 2015 and ending June 30, <br />2016 shall not exceed $25,000.00, The total amount incurred under the Agreement shall not exceed <br />$25,000.00 even if an optional annual extension is exercised. <br />2.
