RECITALS WHEREAS, Sublessor and Sublessee have executed that certain Communications Site Sublease Agreement ( "Sublease ") dated as of April _, 1996, covering certain premises ( "Premises ") situated on certain real property located in the City of Santa Ana, County of Orange, State of California, and more particularly described in Exhibit "A" attached hereto and incorporated herein by this reference; and WHEREAS, Sublessor and Sublessee desire to record notice of the Sublease in the Official Records of Orange County, California; follows: NOW, THEREFORE, in consideration of the foregoing, Sublessor and Sublessee hereby declare as 1. Demise. Sublessor has leased the Premises to Sublessee (together with access rights), and Sublessee has hired the Premises from Sublessor, subject to the terms, covenants and conditions contained in the Sublease. 2. Expiration Date. The term of the Sublease ( "Term ") is scheduled to commence on or before December 31, 1996 and shall expire five (5) years thereafter, subject to Sublessee's option to extend the Term pursuant to Section 4 of the Sublease for three (3) additional terms of five (5) years each. 3. Sublease Controlling. This Memorandum is solely for the purpose of giving constructive notice of the Sublease.
