INSURANCE ON rILE <br />WORK MAY PROCEED N-2omou <br />UNTIL 111SURANCE EXPIRES <br />CLfRIt 0rl— VUNGIL CONSULTANT AGREEMENT <br />DATE: I 1 'i 2015 <br />THIS AGREEMENT is made and entered into this 7th day of January; 2016 by and between Winbourne <br />©'.301)(1) Consulting, LLC,, a Delaware limited liability corporation, (hereinafter "Consultant'), and the City of <br />$ans Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />ppxmr, lavas of the State of California (hereinafter "City„). <br />RECITALS <br />A. The City desires to retain consultant having special skill and knowledge in the field of Public <br />Safety Systems Project Management, Specifically, the City's Police Department desires a <br />consultant to oversee the initial phase of project management and implementation of the <br />integrated software project involving Tri Tech computer-aided dispatch ("GAU') and records <br />management system ("RMS") software and purchase of new mobile data ("MDC") terminals that <br />will, use the new integrated software once implemented. <br />e. Consultant represents that Consultant is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THEREFORE, to consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth; the parties agree as follows:: <br />1. SCOPE OF SERVICES <br />Consultant shall perform those services as set forth in Exhibit A to this Agreement which <br />Include project management of the initial phase of the implementation of the integrated software; <br />program as result of the City's agreement with Tri Tech for new CAD and RMS software systems and <br />consulting on the selection and purchase of the MDC equipment. <br />2. COMPENSATION <br />a. City agrees to pay, and. Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit A. Services under this Agreement will be billed at <br />a rate of $175 an hour for engagement executives and $160 an hour for project manager <br />and subject matter experts. The onsite consultant will not require travel expense <br />reimbursement and only if additional resources of Winbourne Consulting are utilized', will <br />travel reimbursement expenses be required. The total sum to be expended under this <br />Agreement shall not exceed $25,000 during the term of this Agreement. <br />b. Payment by City shall be made within forty-five (45) days following receipt of proper <br />invoice evidencing work performed, subject to City accounting procedures, Payment <br />need not be made for work which fails to meet the standards of performance set forth in <br />the Recitals which may reasonably be expected by City. <br />This Agreement shall commence on the date first written above and terminate upon exhaustion <br />of all of the funds or January 7, 2018 whichever occurs first. The Agreement may also be terminated <br />earlier in accordance with Section 17, below. The term of this Agreement may be extended upon a <br />writing executed by City Manager and the City Attorney. <br />
