SA PD'z2) <br />it MEMORANDUM BETWEEN CITY OF SANTA ANA POLICE AND CALIFORNIA <br />DEPARTMENT OF CORRECTIONS & REHABILITATION DIVISION OF ADULT PAROLE <br />OPERATIONS <br />This memorandum of understanding (MOU) is to serve as a donated space <br />arrangement executed on February 16, 2016, by and between the City of Santa <br />Ana (City) and the Santa Ana Police Department (SAPD) and the California <br />Department of Corrections & Rehabilitation, Division of Adult Parole Operations <br />(CDCR). <br />The SAPD will supply CDCR the use of office space rent-free at 60 Civic Center <br />Plaza, in the City of Santa Ana, County of Orange. The days, hours, and frequency <br />of use of the office space will vary. <br />SAPD will supply all repair, maintenance, janitorial supplies and services to the <br />office space. Furthermore, SAPD will be responsible for all charges for utilities for <br />the office space. <br />Parole Agents Alejandro Garcia and David Padore will provide CDCR services to <br />SAPD to fulfill the recognized need for an on-site Parole Agent and agree to abide <br />by all rules and regulations relating to use of the Santa Ana Police Department <br />facilities. <br />Each party will be responsible for its own employees' conduct in the event that <br />there is a claim for worker's compensation damages, government tort claim, <br />litigation, and/or any claim regarding the conduct of any employee of the either <br />party as a result of this MOU. <br />CDCR shall indemnify and save harmless City and SAPD its officers agents and <br />employees from and against any and all claims, demands, losses, or liabilities of <br />any kind or nature which City and SAPD its officers, agents and employees may <br />sustain or incur or which may be imposed upon them for injury to or death of <br />persons or damage to property as a result of or arising out of the sole negligence of <br />CDCR its officers, agents, employees, subtenants, invitees or licensees, in <br />connection with the occupancy and use of the premises by the CDCR. <br />Likewise City and SAPD shall indemnify and save harmless CDCR, its officers, <br />agents, and employees from and against any and all claims, demands, losses, or <br />liabilities of any kind or nature which City and SAPD, its officers, agents, and <br />employees may sustain or incur or which may be imposed upon them for injury to <br />or death of persons or damage to property as a result of or arising out of the sole <br />negligence of SAPD its officers, agents, employees, subtenants, invitees or <br />licensees, in connection with the ownership, <br />This arrangement shall continue indefinitely, but may be terminated by either <br />party, or by the appropriately designate successor, hereto at any time by giving <br />(30) days' written notice to: <br />
