financing, so long as such requested modifications or additions pertain only to the rights of a <br />Mortgagee or Purchaser hereunder and are not otherwise inconsistent with the terms of this <br />Second Amendment. <br />17, Relationship of the Parties <br />It is hereby specifically understood and acknowledged that the Development is a private <br />project and that neither City nor Developer will be deemed to be the agent of the other for any <br />purposes whatsoever. <br />18. Notices. <br />Any notice of instrument required to be given or delivered to either party to this Second <br />Amendment may be given or delivered by depositing the same in the United States mail, <br />certified mail, postage prepaid, addressed to: <br />City: City of Santa Ana <br />20 Civic Center Plaza <br />P.O. Severability <br />If any tern, provision, condition, or covenant of this Second Amendment, or the <br />application thereof to any part or circumstances, shall to any extent be held invalid or <br />unonforceable, the remainder of the instrument, or the application of such term, provision, <br />condition or covenant or the application of such term, provision, condition or covenant to <br />persons or circumstances other than those as to whom or which it is held invalid or <br />unenforceable, shall not be affected thereby and each tenn and provision of this Second <br />Amendment shall be valid and enforceable to the fullest extent permitted by law. <br />20. Entire Agreement. <br />This Second Ammendment and the Exhibits attached hereto contain the entire agreement <br />between the parties, and .a intended by the parties to completely state this Second Amendment in <br />full.. Any agreement or representation respecting the matters dealt with herein or the duties of <br />any party in relation thereto, not expressly set forth in this Second Amendment, is null and void. <br />-13- <br />11A-19 <br />
