THIRD AMENDMENT TO AGREEMENT <br />THIS THIRD AMENDMENT TO AGREEMENT is entered into this 47 day of May, 2016, by <br />and between WellDyne/RxWest ("Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation duly organized and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement A-2007-278, dated December 3, 2007, to ensure <br />used medical needles ("sharps") are collected and disposed of in safe and sanitary <br />manner, <br />B. On December 31, 2008, the parties executed a First Amendment to the Agreement No. <br />A-2007-278-01, to extend the term of the agreement. <br />C. On June 30, 2010, the parties executed a Second Amendment to the Agreement No, <br />A-2007-278-02, to extend the compensation and term of the Agreement. <br />C. In accordance with the terms and conditions of the Agreement, the parties desire to amend <br />the compensation and extend the Tenn of the Agreement. <br />WHEREFORE, in consideration of the covenants contained in the Agreement, and subject <br />to all the terms and conditions of the Agreement, except those amended by the First and <br />Second Amendment, the parties agree as follows: <br />Section 4, COMPENSATION, shall be amended to increase compensation in the <br />amount not to exceed $25,000.00, to pay for the additional services during the extended <br />tens. <br />2. Section 3, TERM, shall be amended to extend the tern of said Agreement period to June <br />30, 2018, <br />Except as hereinabove modified, the terms and conditions of said Agreement remain <br />unchanged and in frill force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the <br />Agreement the date and year first above written. <br />A17EST: <br />MARIA D.
