CONSULTANT AGREEMENT <br />CITY OF SANTA ANA <br />THIS AGREEMENT is made and entered into this 18th day of May, 2016, by and between CBRE, Inc., a <br />California Corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City„). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />Professional Commercial Brokerage services, including Real Property Analysis, Transactions, & <br />Financial Analysis and Asset Management Services, <br />B. Consultant represents that Consultant is able and willing to provide such services to the City <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this Agreement <br />will be performed in compliance with such standards as may reasonably be expected from a <br />professional consulting firm in the field. <br />NOW THE, REFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows; <br />1. SCOPE OF SERVICES <br />Consultant shall perform those services as set forth in Exhibit A to this Agreement, as <br />previously set forth in Attachment I to RFP No. 15 -103, which shall be incorporated herein by this <br />reference, including Task 1, Real Property Analysis, Transactions, and Financial Analysis, as well as <br />Task 2, Asset Management Services, as applicable. <br />The list of Remnant/Sellable Properties applicable to the Scope of Services is set forth in Exhibit <br />B, attached hereto and incorporated into this Agreement by reference. <br />Additionally, how Consultant will complete said services is discussed in Consultant's Proposal <br />set forth in Exhibit C, attached hereto and incorporated into this Agreement by reference. <br />Further, any Asset Management Services provided under Task 2 shall be subject to the Asset <br />Management Services Terms and Conditions as set forth in Exhibit F attached hereto and incorporated <br />herein by this reference. To the extent of any conflict between the terms of this Agreement and the Asset <br />Management Services Terms and Conditions, Exhibit F shall control with respect to Asset Management <br />Services. <br />21 COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit D, attached hereto and incorporated into this <br />Agreement by reference, including the connnission structure provided for Task 1, Real <br />Property Analysis, as well as the hourly rates provided for Task 2, Asset Management <br />Services. The total sum to be expended under this Agreement for Task 2 shall not exceed <br />$50,000.00 during the term of this Agreement. <br />EXHIBIT 1 <br />25G -5 <br />
