C -5 -3583 <br />BETWEEN <br />ORANGE COUNTY TRANSPORTATION AUTHORITY <br />AND <br />CITY OF SANTA ANA <br />FOR <br />THE DESIGN PHASE <br />OF THE <br />OC STREETCAR PROJECT <br />THIS COOPERATIVE AGREEMENT ("Agreement"), is effective this day of <br />, 2016, by and between the Orange County Transportation Authority, 550 South <br />Main Street, P.O. Box 14184, Orange California 92863 -1584, a public entity of the State of California <br />(herein referred to as "AUTHORITY ") and the City of Santa Ana, a charter city and municipal <br />corporation duly organized and existing under the laws of the State of California (hereinafter referred <br />to as "CITY ") each individually known as "Party" and collectively known as the "Parties ". <br />RECITALS: <br />WHEREAS, the OC Streetcar Project ('Project ") refers to the implementation of the OC <br />Streetcar as illustrated in Exhibit A and as specifically described in this Agreement; <br />WHEREAS, the AUTHORITY and the CITY entered into a Memorandum of Understanding <br />(MOU) on August 31, 2015 for this Project in advance of this Agreement; <br />WHEREAS, the AUTHORITY, in cooperation with the Federal Transit Administration (FTA) <br />and the CITY, is proposing to design, construct, operate and maintain the OC Streetcar, The <br />AUTHORITY is a grantee of the Federal Transit Administration, <br />WHEREAS, the Santa Ana /Garden Grove Streetcar Locally Preferred Alternative was <br />identified by the Santa Ana City Council on August 5, 2014 and approved through the certification of <br />the Environmental Impact Report by the Santa Ana City Council on January 20, 2015; <br />L:\Camm\CLERICAL\WORDPROC\AGREEtAG53583-docx <br />
