INoF,Nt;E">~�" W(9ttK PRAY f]ROCEED UNTIL INSURANCE EXPIRES ��',' CLERK Of GOUNCI $ ��1�y CONSULTANT AGREEMENT A -2016 -058 THIS AGREEMENT is made and entered into this 5TH day of April 2016, by and between PSOMAS ( "Consultant ") and the CITY OF SANTA ANA, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ( "City "). RECITALS A. The City desires to retain a Consultant having special skill and knowledge to conduct a comprehensive Geographic Information System (GIS) Needs Assessment and Implementation Plan as well as an Enterprise Asset Management Needs Assessment and Implementation Plan for the Public Works Agency. & Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field'and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and. respective promises, and subject to the terns and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform those services as set forth in the Exhibit A and incorporated by reference to this Agreement. 2. COIi411'ENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services the total sum of Two Hundred and One Thousand and Nine Hundred and Thirty Seven Dollars ($201,937.00) at the rates and charges identified in Exhibit B and incorporated by reference to this Agreement. A contingency of ten percent (10 %) shall be available, at the discretion of the Executive Director of Public Works, for services that are currently not anticipated, but may be required to complete the Project. Therefore, including the contingency, the total surn to be expanded under this Agreement shall not exceed Two Hundred and Twenty-Two Thousand and One hundred and 'Thirty One Dollars ($222,131..00) daring the terni of this Agreement. b. Payment by City shall be made wit[-iin forty -five days (45) Clays following receipt of proper invoice evidencing work performcd, subject to City accounting procedures. Payment need not be made for work that fails to meet the standards of performance set forth in the Rooitals which may reasonably be expected by City. Page 1 01`8
