"Consultant's Report" shall mean a report signed by an Independent Financial Consultant or an Independent Redevelopment Consultant, as may be appropriate to the subject of the report, and including: (1) a statement that the person or firm malting or giving such report has read the pertinent provisions of the Indenture to which such report relates; (2) a brief statement as to the nature and scope of the examination or investigation upon which the report is based; and (3) a statement that, in the opinion of such person or firm, sufficient examination or investigation was made as is necessary to enable said Independent Financial Consultant or Independent Redevelopment Consultant to express an informed opinion with respect to the subject matter referred to in the report. "Continuing Disclosure Agreement" shall mean that Continuing Disclosure Agreement, by and between the Agency and Urban Futures, Inc. as dissemination agent, dated as of [DATED DATE], relating to the Series 2016 Bonds, as originally executed and as it may be amended from time to time in accordance with the terms thereof. "Corporate Trust Office" shall mean such corporate trust office of the Trustee as may be designated from time to time by written notice fmm the Trustee to the Agency, initially being such office located in Costa Mesa, California except that with respect to presentation of Bonds for registration, payment, redemption, transfer or exchange, such terms shall mean the office of the Trustee in Wilmington, Delaware, or such other office designated by the Trustee from time to time as its Corporate Trust Office. "Costs of Issuance Fund" shall mean the Fund by that name established pursuant to Section 5.06 hereof "Costs of Issuance" shall mean all items of expense directly or indirectly payable by or reimbursable to the Agency or the City and related to the authorization, issuance, sale and delivery of the Bonds and the refunding of the Refunded Bonds, including but not limited to publication and printing costs, costs of preparation and reproduction of documents, filing and recording fees, fees and charges of the Trustee and the Escrow Agent, legal fees and charges, fees and disbursements of consultants and professionals, rating agency fees, fees and charges for preparation, execution, transportation and safekeeping of the Bonds and any other cost, charge or fee in connection with the original issuance of the Bonds and the refunding of the Refunded Bonds as provided in a Costs of Issuance invoice transmitted by the Agency (which may include costs and expenses of the Agency and the City) to the Agency and the Trustee at the time of the original issuance of the Bonds to be paid from proceeds of the Bonds in accordance with Section 3.01 or as provided in a Supplemental Indenture. "County" shall mean the County of Orange, a political subdivision of the State of California. "County Auditor - Controller" shall mean the Auditor - Controller of the County of Orange, 3 -23
