Section 12.08 Acquisition of Bonds by Agency. All Bonds acquired by the Agency, <br />whether by purchase or gift or otherwise, shall be surrendered to the Trustee for cancellation. <br />Section 12.09 Destruction of Cancelled Bonds. Whenever in the Indenture provision is <br />made for return to the Agency of any Bonds which have been cancelled pursuant to the <br />provisions of the Indenture, the Agency may, by a Written Request of the Agency, direct the <br />Trustee to destroy such Bonds and furnish to the Agency a certificate of such destruction. <br />Section 12.10 Content of Certificates and Reports. Every certificate or report with <br />respect to compliance with a condition or covenant provided for in the Indenture shall include (a) <br />a statement that the person or persons making or giving such certificate or report have read such <br />covenant or condition and the definitions herein relating thereto; (b) a brief statement as to the <br />nature and scope of the examination or investigation upon which the statements or opinions <br />contained in such certificate or report are based; (c) a statement that, in the opinion of the <br />signers, they have made or caused to be made such examination or investigation as is necessary <br />to enable them to express an informed opinion as to whether or not such covenant or condition <br />has been complied with; and (d) a statement as to whether, in the opinion of the signers, such <br />condition or covenant has been complied with. <br />Any such certificate made or given by an officer of the Agency may be based, insofar as <br />it relates to legal matters, upon a. certificate or opinion of or representations by counsel, unless <br />such officer knows that the certificate or opinion or representations with respect to the matters <br />upon which his certificate may be based, as aforesaid, are erroneous, or in the exercise of <br />reasonable care should have known that the same were erroneous. Any such certificate or <br />opinion or representation made or given by counsel may be based, insofar as it relates to factual <br />matters information with respect to which is in the possession of the Agency, upon the certificate <br />or opinion of or representations by an officer or officers of the Agency, unless such counsel <br />knows that the certificate or opinion or representations with respect to the matters upon which <br />his certificate, opinion or representation may be based, as aforesaid, are erroneous, or in exercise <br />of reasonable care should have known that the same were erroneous, <br />Section 12.11 Funds and Accounts. Any fund or accoiant required by the Indenture to <br />be established and maintained by the Agency or the Trustee may be established and maintained <br />in the accounting records of the Agency or the Trustee either as a fund or an account, and may, <br />for the purposes of such records, any audits thereof and any reports or statements with respect <br />thereto, be treated either as a fund or as an account; but all such records with respect to all such <br />fuuids and accounts shall at all times be maintained in accordance with sound accounting <br />practices and with due regard for the protection of the security of the Bonds and the rights of the <br />Owners. <br />Section 12.12 Article and Section Headings and References. The headings or titles of <br />the several Articles and sections hereof, and the table of contents appended hereto, shall be <br />solely for convenience of reference and shall not affect the meaning, construction or effect of the <br />Indenture. <br />All references herein to "Articles," "Sections" and other subdivisions are to the <br />corresponding articles, sections or subdivisions of the Indenture; and the words `9lerein," <br />57 <br />3 -75 <br />
