Adopt a resolution. <br />SA RESOLUTION NO. 2016 -001 — A RESOLUTION OF THE <br />SUCCESSOR AGENCY TO THE COMMUNITY REDEVELOPMENT <br />AGENCY OF THE CITY OF SANTA ANA AUTHORIZING THE <br />ISSUANCE OF ITS SUCCESSOR AGENCY TO THE COMMUNITY <br />REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA, TAX <br />ALLOCATION REFUNDING BONDS (MERGED PROJECT AREA), <br />SERIES 2016; APPROVING A FORM OF INDENTURE, A FORM OF <br />BOND PURCHASE AGREEMENT AND A FORM OF CONTINUING <br />DISCLOSURE CERTIFICATE; MAKING CERTAIN DETERMINATIONS <br />RELATING THERETO; AND AUTHORIZING CERTAIN OTHER ACTION <br />IN CONNECTION THEREWITH <br />2. Authorize the City Manager and Clerk of the Council to execute <br />agreements with the following recommended firms through <br />December 31, 2017 and confirm Urban Futures, Inc ( "UFI ") as the <br />financial advisor for this transaction, based on the submitted fee <br />proposals and evaluations in order to provide refinancing services <br />related to the refunding of the former Community Redevelopment <br />Agency of the City of Santa Ana, South Main Street Redevelopment <br />Project, Tax Allocation Bonds Series 2003A and 20038, subject to <br />non- substantive changes approved by the City Manager and the City <br />Attorney for the following amounts: <br />o AGMT - Urban Futures, Inc. — Financial Advisor (not -to- exceed <br />$49,500); <br />o AGMT - Stifel, Nicolaus & Company, Inc. — Underwriter (not -to- <br />exceed $102,500); <br />MINUTES FOR CITY OF SANTA ANA 2 JULY 5, 2016 <br />ACTING AS SUCCESSOR AGENCY <br />
