dASURANCE OR FILE <br />6RK MAY PROCEED <br />NT[L INSURANCE EXPIRES <br />. / /-/'7 <br />CLERK DF COUNCI 3 1 2016 <br />DATE: B <br />�• 1) (0 FIRST AMENDMENT TO MA[NTENANCE AND SUPPORT <br />rAa& 4,41 � 3 . <br />AGREEMENT <br />��92G 7 This First Amendment to the Maintenance and Support Agreement is entered into <br />on August _ 2016, by and between the City of Santa Ana, a charter city and Municipal <br />Corporation of the State of California ("City") and General Supply & Services, inc., a <br />Delaware Corporation doing business as Gexpro, Inc., (hereinafter "Contractor.") <br />RECITALS <br />A. City and Contractor entered into Agreement #N-2016-069, dated January 4, 2016 <br />wherein Contractor agreed to provide GE Intelligent Platform products and services <br />to the City. <br />B. The original invoice did not include sales tax. In addition, there products were not <br />purchased until June 2016 and the parties would like the Agreement termination date, <br />primarily for the service portion of the Agreement, to align with the one (1) year from <br />the date of purchase of the products. <br />C. 'The parties intend to extend the tennination date of the Agreement from January 4, <br />2017 to June 22, 2017 and increase the compensation from $21,438.72 to $23,153.82 <br />which would include sales tax. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the patties agree as follows: <br />A. Section 2, COMPENSATION, is atnended to increase the not to exceed amount <br />from $21,438.72 to $23,153.82 and replace Exhibit "A" with Exhibit ".A-1" <br />illustrating the Agreement amount including sales tax; and <br />B. Section 3, TERM is amended to change the termination date from January 4, 2017 <br />to June 22, 20I7 and replace Exhibit "A" with Exhibit "A-1" reflecting the new <br />termination date. <br />IN WITNESS WHEREOF, the parties hereto have executed this Fust Amendment on the <br />date and year first written above. <br />ATTEST: <br />- t <br />MARIA D.
