<br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on August 22, 2013, by and between
<br />G4S Secure Solutions (USA) Inc., a Florida corporation ("Contractor") and the City of Santa Ana, a charter city
<br />and municipal corporation organized and existing under the Constitution and laws of the State of California
<br />("City").
<br />a RECITALS:
<br />A. The parties entered into that certain Agreement A-201 1-122, dated May 2,201 I, (hereinafter "said
<br />Agreement") by which Contractor has provided security guard services for various City facilities.
<br />B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of
<br />Services to provide security guard services at various City facilities, parks and recreation centers.
<br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and
<br />conditions of said Agreement, except those amended in this Second Amendment to Agreement, the parties agree
<br />as follows:
<br />1. Section 1, SCOPE OF SERVICES, shall be amended to include, in addition to the services provided pursuant
<br />to said Agreement, the Contractor shall perform a daily security sweep of City Hall. Contractor will utilize
<br />the security officer assigned to the main library to complete the City Mall sweep at the conclusion of the
<br />security officer's shift at the main library. The service will include one additional hour of service Monday
<br />through Thursday from 9pm to 10prn, and Friday from 6pm to 7pm.
<br />2. Section 2.a., COMPENSATION, shall be amended to include in total compensation, $5,366.40 ($103.2.0 per
<br />week = $20.64 per hour X 5 hours per week). During the first renewal term, Contractor shall be paid at the
<br />rate set forth in G4S Cost Shect- Renewal Term June 1, 2013 to May 31, 2014, attached hereto as Exhibit B
<br />and incorporated by this reference. The total amount to be expended on security services pursuant to this
<br />Agreement during the term from June 1, 2013 through May 31, 2014, shall not to exceed $504,264,12, which
<br />includes a contingency of $84,633.60, for unanticipated expenses.
<br />The parties acknowledge that Exhibit B "G4S Cost Sheet- Renewal Term June 1,2 013 to May 31, 2014,
<br />reflects a merit increase for the SAKFC Security Supervisor. The hourly bili rate shall be adjusted to
<br />$24.20/hour. The cost impact would be $1.68/hour additional or $67,20/week.
<br />Rates shall remain firm for the Renewal Term. Thereafter, notwithstanding the foregoing, following receipt
<br />of written notice from Contractor, the parties agree to renegotiate in good faith the relevant adjustments to
<br />rates in order to fully recover any change in costs mandated by law, including but not limited to licensing
<br />fees, Federal Insurance Contribution Act (FICA), Federal Unemployment Tax Act (FUTA), State
<br />Unemployment Insurance (SUI), Worker's Compensation, Collective Bargaining Agreements, Union
<br />Activities, regulatory costs associated with compliance with the Patient Protection and Affordable Care Act
<br />(PPACA), and/or Federal or State minimum wage laws, In addition, these rates may be adjusted each
<br />November 1 for any increased costs for medical insurance premiums, participation rates or both. Any
<br />changes to hours, scope of work, qualifications, requirements or equipment shall be mutually agreed to in
<br />writing by both parties and may necessitate a change in fee structure.
<br />3. Section 3, TERM, shall be amended to extend the term for the first successive twelve month period, from
<br />June 1, 2013 through May 31, 2014. The City shall have the option to extend the term for up to two
<br />additional twelve month periods upon a writing executed by the City Manager and the City Attorney.
