SERVICE AGREEMENT ROTATIONAL TOW PROVIDER R A- 2016 -283 THIS AGREEMENT, made and entered into this 16th day of August, 2016 by and between B &D Towing, (no, a California corporation, (hereinafter "Contractor "), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City "). i RECITALS \� \ , U A. The City desires to retain a contractor having special . skill and knowledge in the field of providing vehicle towing and storage services. B. Contractor represents that it is able and willing to provide such services to the City. C, In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the flcld, NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terns and conditions Hereinafter set forth, the parties agree as follows: SCOPE OE SERVICES Contractor shalt provide vehicle towing and storage service at the request of the Santa Ana Police Department, on a rotational basis, in accordance with the terms and conditions set forth in the Scope of Set-vice, attached hereto as Exhibit A and incorporated by this reference. The City intends to contract with several tow companies to provide necessary towing services on a rotational basis, "Cowing services may include, but are not limited to, towing vehicles from public or private property at the direction of Police employees, owner's request for a tow made via the Police Department, the storage of vehicles, the secure storage of vehicles containing evidentiary value, debris clean -up and removal, recovery services and administrative oversight of vehicles in the custody of the contractor. 2. COMPENSATION a. The panties intend that towing and storage fees wilt be paid by the vehicle owner at the rates aid charges set forth in Contractor's then current and approved fee schedule, attached as Exhibit B and incorporated by this reference. b. When Contractor provides services chargeable to the City as set forth in Exhibit A, the Contractor shall submit a monthly invoice by the 15th of the month to the City for any such services rendered in the prior month, if applicable.
