[=bztSLiti/ <br />1N50RAN€ L ON FILE. <br />WORK Nit PROCEED <br />UN 1, WURANCE EXPIRES <br />clan'} - COUNCIL <br />SECOND AMENDMENT TO AGREEMENT FOR PROVISIONS <br />OF PARKING CONTROT, FNFnRrFMFNT SFRVTCFC <br />THIS SECOND AMENDMENT to the above -referenced agreement is made and entered into on <br />October 18, 2016 by and between SP Plus Corporation, a Delaware Corporation as successor -by -merger <br />to Central Parking System, Inc., a Tennessee corporation ("Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of the State <br />of California ("City"}. <br />RECITALS <br />A. On July 16, 2012, the parties entered into Agreement #A-2012-165, for parking control <br />enforcement services after a Request for Proposal ("RFP") determined that contractor had the best <br />quality services at minimum cost to the City. This Agreement was for a term or two (2) years with <br />three (3) additional two-year periods, for a maximum of eight (8) years. The Agreement also <br />provided for an annual adjustment of parking control charges (not to exceed 2%) upon Agreement <br />of the parties. <br />& On June 17, 2014, the parties entered into a Hirst Amendment Agreement #A-2014-134, to <br />exercise the first two (2) year extensions of the Agreement and to increase the annual cost not <br />to exceed amount of the Agreement by 1.5% ($40,894.00), The parties also agreed to add four <br />(4) part-time parking control Officers to enforce various municipal code parking violations, <br />including permit parking at a cost of $158,005.00 annually and to add a 15% contingency to <br />cover unforeseen parking control needs. <br />C. The parties wish to further amend the Agreement to exercise the second two (2) year <br />extension of the Agreement and to increase the compensation of the Agreement. <br />D. The parties agree that this Amendment will cover the costs for services rendered by the <br />Contractor since July 1, 2016. <br />NOW, THEREFORE, in consideration of the mutual and respective promises, and subject to all <br />the terns and conditions of said Agreement, except as herein modified, the parties agree as follows: <br />1. Section 2, COMPENSATION, is further amended to include an additional One million, <br />Four Hundred Thousand Dollars ($1,400.000.00) to cover the costs associated with the two year renewal <br />of this Agreement, and for services provided from July 1, 2016. <br />2. Section 4, TERM, is amended to extend the term of the Agreement for an additional two- <br />year period, from July 1, 2016 through June 30, 2018. <br />3. Except as modified by this Second Amendment, and the First Amendment, all terms and <br />conditions of the Agreement shall remain in full force and effect. <br />Page 1 of Z <br />
