4. Agreement <br />By execution of this Agreement, Licensee agrees for itself and on the behalf of its employees, <br />agents, consultants and contractors as follows: <br />a. The Property owned by the Licensor shall only be used for the art exhibition Santa Aria <br />Fairy Tales by Santa Ana artist/writer ,Sarah Rafael Garcia scheduled to open in the Grand <br />Central Art Center's main gallery space on March 4, 2017, and run through May 14, 2017, <br />and for no other purposes without the prior written approval of the Licensor; <br />b. There is no payment due to the Licensor or Licensee for use of the Property; <br />c. The Property must be returned to the Licensor in the condition in was received, and the <br />Licensor shall be responsible for all reasonable repairs should any damage occur to the <br />Property during the termof this Agreement; <br />d. Licensee shall store the Property in a safe and, secure location inside the Grand Central <br />Art Center, with no charge to Licensee or Licensor; <br />e. The Property shall not be operated or used in any manner other than for display purposes; <br />f, Licensee shall be responsible for transport of the Property from the City Yard at the <br />commencement of the Agreement and return of the Property to the City Yard at the <br />conclusion of the Agreement; and, <br />g. Licensee shall display the Property entirely at its own cost, risk and expense. <br />3. Insurance <br />Prior to undertaking use of the Property under this Agreement, Licensee shall maintain and shall <br />require its subcontractors, if any, to obtain and maintain insurance as described below: <br />a, Licensee shall maintain commercial general liability insurance naming the Licensor and <br />its officers, employees, agents, volunteers and representatives as additional insured(s) <br />and shall include, but not be limited to, protection against claims arising from bodily <br />and personal injury, including death resulting therefrom and damage to property, <br />resulting from any act or occurrence arising out of Licensee's operations in the <br />performance of this Agreement, including, without limitation, acts involving vehicles. <br />The amounts of insurance shall be not less than the following: single limit coverage <br />applying to bodily and personal injury, including death resulting therefrom, and property <br />damage, in the total amount of $1,000,000.00 per occurrence, and $2,000,000 in the <br />aggregate. Licensee shall supply Licensor with a fully executed additional insured <br />endorsement upon execution of this Agreement. <br />b. Business automobile liability insurance, or equivalent form, with a combined single limit <br />of not less than $1,000,000 per occurrence. Such insurance shall include coverage for <br />owned, hired and non -owned automobiles. <br />2 <br />
