event Contractor may immediately impose a surcharge on bin <br /> service customers to compensate for such charges , to the <br /> extent such charges are not included in the rates of the <br /> other cities by which Contractor ' s compensation under <br /> section 22 is determined . <br /> (b) No increase in the compensation due <br /> Contractor other than under sections 21 , 22 , and 27 (a) shall <br /> be made unless Contractor demonstrates to the satisfaction <br /> of the Auditor that Contractor has become subject to <br /> substantial cost increases for reasons beyond Contractor 's <br /> control to the point that it is no longer profitable for <br /> Contractor to continue in business without a compensation <br /> increase . In such event , the increase in compensation shall <br /> not exceed an amount necessary to allow Contractor the <br /> recovery of such cost increases as determined by the <br /> Auditor . <br /> 28 . Subcontractors , Management, and <br /> Stock Transfers <br /> ( a) The Contractor shall not assign , transfer , or <br /> subcontract the Agreement nor any part thereof without first <br /> obtaining the consent of the City Council , except that the <br /> Contractor may sell or otherwise dispose of refuse and <br /> salvaged materials after the same have been collected . <br /> (h) Contractor shall retain Thomas K. Blackman in <br /> a position of management of the Contractor 's operations as <br /> long as the said person is able and willing to continue in <br /> such service , except insofar as a change in management may <br /> be previously approved by the City Council . <br /> 32 . <br />
