COOPERATIVE AGREEMENT NO. C -6 -1516 <br />1 K. Governing Law and Venue: The laws of the State of California and applicable local <br />2 and federal laws, regulations and guidelines shall govern this Agreement. <br />3 L. Dispute Resolution: All disputes arising under this Agreement shall be resolved in <br />4 accordance with the dispute resolution process in this Article. The Parties shall diligently cooperate <br />5 with each other in an effort to resolve any dispute during the dispute resolution process. If a dispute <br />6 arises under this Agreement, either Party may file a written request with the other Party to invoke the <br />7 dispute resolution process. Upon receipt of such a request each Party shall designate a staff <br />8 representative, which representatives shall meet within 14 days of the date of the written request in <br />9 an effort to resolve the dispute. If the dispute has not been resolved within 14 days or any extension <br />10 thereof mutually agreed upon by the Parties, the dispute shall be referred to each Party's Executive <br />11 Director, who shall meet within 14 days of the referral in an effort to resolve the dispute. If the <br />12 Executive Directors are unable to resolve the dispute within 14 days or any extension thereof mutually <br />13 agreed upon by the Parties, then the dispute shall be referred to the AUTHORITY'S Chief Executive <br />14 Officer and the CITY's City Manager, who shall meet within 14 days of the referral in an effort to <br />15 resolve the dispute. If the dispute remains unresolved within such 14 days or any extension thereof <br />16 mutually agreed upon by the Parties, either Party may initiate litigation. <br />17 M. Litigation fees: Should litigation arise out of this Agreement for the performance <br />18 thereof, each Party shall be responsible for its own costs and expenses, including attorney's fees. <br />19 N. Notices: Any notices, requests, or demands made between the Parties pursuant to this <br />20 Agreement shall be in writing and delivered by certified mail. Phone and e -mail may be used for <br />21 convenience but are not considered as official notice. Notice information may be changed by either <br />22 Party at any time upon written notification being received by the other Party of the change in notice <br />23 information with the information provided below.
