A-2017-014 <br />FAIRST_AMENDMENT TO SOFTWARE MAINTENANCE ANIS SITE LICENSE AGREEMENT <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into December 16, 2016 by <br />and between GeoSpatial Technologies, Inc., a California Corporation, (hereinafter "GST"), and the City <br />of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of Califoniia (hereinafter "City"). <br />RECITALS <br />CO <br />L.0 <br />C� A. The parties entered into Agreement #A-2015-279 dated December 16, 2015 ("Agreement"), by <br />LU ra L s_ <br />LU (.0 ~ which Consultant agreed to maintain and license automated vehicle locator ("AVL") tracing <br />c�Q' <br />-- — software and mobile mapping services. <br />LLI 6–cc <br />.. B. The agreement provides for two one year options for renewal exercisable by mutual agreement <br />pursuant to the terms of section. 3 of the agreement, <br />C. The City desires to renew the contract for one (1) year to tenninate on December 15, 2017, <br />Now, therefore, in consideration of the mutual and respective promises, and subject to the teems atI <br />conditions of said Agreement, except as herein modified, the parties agree as follows: <br />1. Section 2,. Compensation is amended to add the following: <br />City agrees to pay, and Contractor agrees to accept as total payment for its services, the <br />rates and charges identified in the quote attached hereto as Exhibit "B" and incorporated <br />herein by reference. The total sum to be expended under this Agreement shall not exceed <br />$20,898.00 plus a $5,000 contingency to be used at the City's sole discretion for a total not <br />to exceed amount of $25,898.00, <br />2. Section 3, Term, is amended to add the following: <br />This Agrcenaent shall commence on. December 16, 2016 and terminate on December 15, <br />2017 with one (1) one year option for renewal exercisable by m-.i.tual agreement of the, <br />parties unless tenuinated earlier in accordance with Section 12 of the Agreement. <br />3. Exc opt as hereinabove modified, all terns and conditions of said Agreement shall remain in full <br />force and effect. <br />
