NOTICES <br />9,1 All notices, requests, claims, correspondence, reports, statements <br />authorized or required by this Agreement, anti /or other communications shall be <br />addressed as follows: <br />COUNTY: County of Orange Social Services Agency <br />Contract Services <br />500 N. State College Blvd, Suite #100 <br />Orange, CA 92868 <br />CONTRACTOR: City of Santa Ana /Santa Ana WORK Center <br />1000 E. Santa Ana Blvd— Suite 200 <br />Santa Ana, CA 92701 <br />9.2 All notices shall be deemed effective when in writing and <br />deposited in the United States mail, first class, postage prepaid and <br />addressed as above. Any notices, claims, correspondence, reports and /or <br />statements authorized or required by this Agreement addressed in any other <br />fashion shall be deemed not given. The Parties each may designate by written <br />notice from time to time, in the manner aforesaid, any change in the address <br />to which notices must be sent. <br />10. NOTICE OF DELAYS <br />Except as otherwise provided under this Agreement, when either party has <br />knowledge that any actual or potential situation is delaying or threatens to <br />delay the timely performance of this Agreement, that party shall, within one <br />(1) business day, give notice thereof, including all relevant information with <br />respect thereto, to the other party. <br />11. INDEMNIFICATION <br />11.1 CONTRACTOR agrees to indemnify, defend with counsel approved in <br />writing by COUNTY, and hold U.S. Department of Health and Human Services, the <br />(WRR0216) Page 14 of 43 (April 4, 2017) <br />25A -16 <br />
