The City desires to retain a promoter having special skill and knowledge in the field of <br />Media Promotional Marketing services for the 2017 City Produced Cinco de Mayo <br />event ("Event"). <br />S. Promoter represents that it is able and willing to provide such services to the City, <br />C. In undertaking the performance of this Agreement, Promoter represents that it is <br />knowledgeable in its field and that any services performed by Promoter under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting finn in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows, <br />1. SCOPE OF SERVICES <br />Promoter shall provide media promotional marketing services in exchange for <br />participation in the 2017 City's Cinco de Mayo event as set forth in Exhibit A attached hereto <br />and incorporated by reference. <br />2. COMPENSATION <br />City agrees to allow Promoter to participate in the 2017 City's Cinco de Mayo event, and <br />Promoter agrees to provide media promotional marketing services in exchange for payment for <br />its services as set forth in Exhibit A attached hereto and incorporated by reference. No money <br />shall exchange hands. <br />This Agreement shall commence on the date stated above and terminate on May 31, <br />2017, unless terminated earlier in accordance with Section 13, below. <br />4. INDEPENDENT CONTRACTOR <br />Promoter shall, during the entire; term of this Agreement, be construed to be an <br />independent contractor and not an employee of the City.
