CONSULTANT AGREEMENT <br />LU o <br />W -r THIS AGREEMENT, made and entered into this 17th day of November, 2016 by and <br />O ^between TriTecb Software Systems, a California corporation (hereinafter "Consultant"), and the <br />p�I °f- p �City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br />LLUUJ q RECITALS <br />ca <br />Z v A. The City desires to retain a consultant having special skill and knowledge in the field of <br />software maintenance and support for Crime ViewTM software as well as publishing <br />criminal activity maps via the Internet. The software is used by the Police Department <br />to provide a mechanism for crime analysis, crime mapping and to provide crime <br />mapping to the public. <br />B. The City entered into a Consultant Agreement with 'the Omega Group (N-2015-131) <br />which had provided software for crime analysis and online services to the City. <br />C. Consultant purchased the assets held by The Omega Group including the Crime <br />ViewTM software and CrimeMapping.com website in February of 2016. <br />D. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />E. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />I. SCOPE OF SERVICES <br />Consultant shall provide telephone and remote service for CiimeMapping.com and Crime <br />ViewTM software upon the City's request or for updates and software issues identified by <br />consultant. In addition, Consultant will provide crime mapping to the public by way of an <br />internet website. Consultant has provided the Software Support Terms that are attached hereto <br />and incorporated herein as Exhibit "A". <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, an <br />amount that does not exceed $5,150 during the term of this Agreement. The Quote for the <br />Services is attached hereto and incorporated herein as Exhibit "B". <br />
