P,-- ICI.- 36-1 -i)I NO COST ADDENDUM TO CONSULTANT AGREEMENT THIS NO COST ADDENDUM TO THE CONSULTANT AGREEMENT is made and entered into between CDCE, Inc., a California Corporation, (hereinafter "Consultant"), and the City of ,Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The City desires to retain a consultant having special skill and knowledge in the field of purchasing, installing, and warranty of mobile data computers ("MDC"). City issued a Request for Proposal for purchase and installatior of MDCs on October 3, 2016, RFP No. 16-122. B. The parties entered into a Consultant Agreement ( 016-361) by which Consultant has installed mobile data computers ("MDC") and maintained the equipment for the City. The Consultant Agreement provided for a contingency in the amount of $75,000 to be used as the City's sole discretion. C. Consultant submitted a proposal dated October 14, 2016 in response to RFP No. 16-122. Consultant was selected as the most qualified proposal and represents that Consultant is able and willing to provide such services as outlined in its proposal to the City. D. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that, any services performed by Consultant under this Agreement will be performed in comp4iance with such standards as may reasonably be expected from a professional consulting firm in the field. E. Consultant has agreed to enter into this Addendum to the Agreement to Change the rnodel of the Cradlepoint Mobile Router equipment and has agreed to provide such new models at no additional cost to the City. City has agreed to return the old models to Consultant and to only pay for the freight charges associated with the model change. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall provide 135 Cradlepoint Mobile Routers identified in Invoice #100030-A and City agrees to return Model# IBR1100LP-VZ Part #DM -400014 in exchange for Model` IBR1100LP6-NA Part #QM -400016 at no additional cost to the City, Consultant agrees to accept $917.44 as total payment for the freight charges associated with the model change as set forth in invoice Number 109080-A attached as Exhibit A and incorporated by reference herein. Payment will be made upon shipment of the equipment in the event there is a conflict between the Agreement and the Addendum to the Agreement, this Addendum shall govern, Any term or condition of the Agreement that is not superseded by a term or condition in this Addendum shall remain in full farce and effect.
