ro ra 0 r to c r t. i r r <br />"'On -Site Training„ means staff from TASER vlsing the Santa Ana Police Department for in - <br />person training. <br />"Products" means all TASER equipment, software, cloud based services, Documentation and <br />software maintenance releases and updates provided by TASER under this Agreement. <br />"Product User Documentation" means the documentation TASER's Professional Services <br />Team will provide to Agency prior to commencement of the Services. <br />"Replacement Product" means a new, like new, or repaired product as set forth In Exhibit <br />A and Al. <br />"Resolution Time" means the elapsed time between TASER's acknowledgment of an Issue <br />until the problem in the Services has been resolved, which does not include time delays <br />caused by the Agency or by third parties outside of TASER's reasonable control. <br />"Scope of Services" means the products and services purchased by Agency from TASER <br />and all products and services TASER agrees to provide to Agency as outlined In Exhibit 'A" <br />attached hereto and incorporated by reference herein. <br />"Spare products" means those extra products specifically set forth In the Scope of <br />Products and Services attached hereto as Exhibits "A" and "Al <br />"Subscription Term" shall mean the five (5) years that the Agency shall have access to <br />Evidence.com Services for the storage and management of Agency Content. <br />"Taxer Assurance Plan" („TAP") means the plan that includes the extended warranty <br />coverage as well as the spare products and upgraded models at the end of the TAP term. <br />The TAP is bundled into the purchase price of the Ultimate and Unlimited Plan Evidence.com <br />licenses, The TAP Includes Axon camera upgrades every 2,5 years, TASER's extended <br />warranty and spare cameras. The TAP includes the extended warranty coverage described <br />In the current hardware warranty, as well as spare products and upgraded models at the <br />end of the TAP term. TAP does not apply to software services offered for, by, on, or <br />through the Taser,com or Evldence,com websites, <br />"Training" means those training sessions as set forth and described in the Professional <br />Services Appendix attached hereto, <br />"Upgraded Models" means those products that TASER has upgraded, revised, and or <br />modified. <br />5 Paympnt Terms, invoices are due to be paid within 45 days of the date of invoice. All orders <br />are subject to prior credit approval. Payment obligations are non -cancelable and fees paid are <br />non-refundable and all amounts payable will be made without setoff, deduction, or <br />withholding, If a delinquent account is sent to collections, the Agency is responsible for all <br />collection and attorneys' fees. <br />es.
