SECURITY <br />31.1 CONTRACTOR shall immediately notify COUNTY of any and all <br />unauthorized disclosures of COUNTY data of which CONTRACTOR or its staff is <br />aware or has knowledge. After such notification, CONTRACTOR shall, at its own <br />expense: <br />31.1.1 Investigate to determine the nature and extent of the <br />unauthorized disclosure. <br />31.1.2 Contain the incident by, among things, attempting to <br />recover records, revoking access and/or correcting weaknesses in security. <br />CONTRACTOR shall reimburse COUNTY for all notification -related costs incurred <br />by COUNTY arising out of or in connection with the unauthorized disclosure as <br />legally required <br />31.1.3 For services provided under this Agreement, CONTRACTOR <br />shall ensure that all confidential information must be held in the strictest <br />confidence, can only be accessed by those with a need to know and is protected <br />to prevent unauthorized or inadvertent access. Confidential electronic <br />information must be stored in an encrypted format. Confidential information <br />stored in a paper format must be transported, handled, secured and destroyed <br />in a manner that to prevent unauthorized access. <br />32. COPYRIGHT ACCESS <br />The U.S. Department of Health and Human Services, the CUSS, and COUNTY <br />will have a royalty -free, nonexclusive and irrevocable license to publish, <br />translate, or use, now and hereafter, all material developed under this <br />Agreement including those covered by copyright. <br />33. WAIVER <br />No delay or omission by either party hereto to exercise any right or <br />power accruing upon any noncompliance or default by the other party with <br />respect to any of the terms of this Agreement shall impair any such right or <br />MR0216) Page 35 of 43 (April 4, 2017) <br />
