A-2015. f•2 -a3 <br />THIRD AMENDMENT TO CONSULTANT AGREEMENT <br />THIS THIRD AMENDMENT TO CONSULTANT AGREEMENT is entered into <br />on. June 15, 2017 by and between Westbound Communications, Inc,, a California <br />corporation (hereinafter "Consultant'), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State <br />of California (hereinafter "City"). <br />RECITALS <br />A. The parties entered into Agreement # A-2015-112, dated June 16, 2015, (hereinafter <br />"said Agreement") for a consultant having special skill and knowledge in the field of <br />public outreach and promotional services related to the ReadyOC (ROC) Emergency <br />Preparedness Campaign and the "If You See Something Say Something®" (S4) <br />campaign. <br />B. The parties entered into a First Amendment of the Agreement #A-2015-112-001 dated <br />June 14, 2016 wherein the scope of services was amended to change the deliverables <br />which were provided in certain tasks, authorize the expenditure of contingency funds <br />in relation to specific tasks, and adopt the certifications that are required as a condition <br />of Urban Areas Security initiative ("UASI") grant funding. <br />C. The parties entered into a Second Amendment of the Agreement #A-2015-112-001 <br />dated May 10, 2017 wherein the scope was services was amended as set forth in <br />Exhibits A and B to the First Amendment to the Agreement. The additional services <br />were funded by the 5% contingency funds detailed within the Milestone Payment <br />schedules provided in the exhibits to the First Amendment. The term for those <br />additional services were to be completed by May 31, 2017 and did not revise any of <br />the terms of the First Amendment. <br />D. In accordance with the terms and conditions of said Agreement, the Parties desire to <br />anend the scope of services of the Agreement to address services to be provided <br />pursuant to fiscal year 2016 funding; amend the language on the certifications and <br />exercise its option to extend the tern of said Agreement for an additional year. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to <br />the teams and conditions hereinafter set forth, the panes agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended as described and set <br />forth in Exhibit A for Consultant ReadyOC (ROC) and as described in Exhibit B for <br />Consultant "If You See Something Say Something(O." Exhibits are attached hereto, and <br />incorporated by reference to this Agreement. <br />2.
