AGREEMENT TO PROVIDE VETERINARY SERVICES <br />AT THE SANTA ANA ZOO <br />THIS AGREEMENT is made and entered into this 15th day of August, 2017 by and between <br />Scott Weldy, DVM, dba Serrano Animal and Bird Hospital, (hereinafter "Consultant"), and the <br />City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. On May 25, 2017, the City issued Request for Proposal ("RFP") No. 17-059, by <br />which it sought proposals from qualified firms for veterinary services for the <br />Santa Ana Zoo. <br />B. Consultant submitted a responsive proposal that was selected by the City. <br />Consultant represents that it is able and willing to provide such services to the <br />City described in the attached scope of work that is attached to this Agreement <br />and identified as Exhibit A. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under <br />this Agreement will be performed in compliance with such standards as may <br />reasonably be expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subj ect to the <br />terns and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform veterinary services for the Santa Ana Zoo as set forth in Exhibit <br />A, and incorporated by reference to this Agreement. Consultant's proposal is also incorporated by <br />reference as though fully set forth herein, <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit B and incorporated by reference to this <br />Agreement. The total amount to be expended for services during the tern of this <br />Agreement, including any extension period exercised under Section 3, shall not <br />exceed $549,120. The total annual amount shall not exceed $137,280. This amount <br />is comprised of the sum of $124,800 and (2) a 10% contingency of up to $12,480 <br />for services, including but not limited to, service fees associated with veterinary <br />specialist services (i.e. MRI, specialty ultrasound/diagnostics, specialty dental <br />surgery, and specialty surgery), outside laboratory services, and outside <br />pharmaceutical services/products (i.e. compounding), as may be retained by <br />Exhibit i <br />Page 1 of 11 <br />i►l- <br />
