INSURANCE ON FILE ( A-2417-113-01 <br />WORKMAY R00' <br />UNI IL IN NGE EXPIRES <br />CLEf1KOS=COUNCI9!4 <br />©ATE AUG 2 9 2017FIRST AMENDMENT TO MASTER SERVICE AND <br />PURCHASING AGREEMENT FOR SOFTWARE LICENSES <br />FOR BODY WORN CAMERA EQUIPMENT <br />55f 5,gv THIS FIRST AMENDMENT to the above -referenced agreement is entered into on August <br />2017, by and between Axon Enterprise, Inc., a California corporation ("Consultant'), and the <br />City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement #A-2017-113, dated May 2, 2017 ("Agreement'), by <br />which Consultant agreed to provide software licenses in support of the Body Worn <br />Camera equipment utilized by the Santa Ana Police Department. <br />B. The Agreement was originally executed between Taser International, Inc. and the City. <br />Since the date of the execution of the Agreement, Taser International, Inc. changed its <br />business name to Axon Enterprise, Inc. <br />C. To support the use of its Body Worn Camera program, software licenses are utilized through <br />a system called Evidence.com. The Iicense provides security and encryption of the data <br />accessed from the body worn cameras to prevent unauthorized use or access to the evidence <br />or data obtained by the equipment. The original Agreement provided for 30 professional <br />licenses and included within its original budget a $50,000 contingency used for payment of <br />additional services or change orders related to the Agreement. <br />D. The parties wish to amend the Agreement to memorialize the change in the name to Axon <br />Enterprise and to utilize $25,000 of the contingency fonds, previously approved by the City <br />and include additional funds to cover the remaining balance for the purchase of 80 additional <br />unlimited licenses for one year during the term of the original Agreement. <br />The Parties therefore agree: <br />1. The parties to the Master Services and Purchasing Agreement for Body Warn Camera <br />Program shall be between Axon Enterprise, Inc. and the City of Santa Ana Police <br />Department. <br />2. Exhibit A to the original Agreement shall now include the attached Change Order for the <br />purchase of licenses from Axon Enterprise, Inc., identified as Exhibit A-2, to implement the <br />use of 80 additional Evidence.com unlimited licenses and storage for Year I only. The total <br />SLIM to be expended for the payment of these additional unlimited licenses and storage shall <br />not exceed $68,098. $43,098 will be added to the total agreement amount and $25,000 will. <br />come from the existing contract contingency. The new five-year not to exceed agreement <br />amount will be increased from $1,488,424.26 to $1,531,522.26. <br />3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall <br />remain in full force and effect. <br />Page 1 of 2 <br />
