AGREEMENT FOR THE PROVISION OF INMATE MEDICAL SERVICES BETWEEN <br />CITY OF SANTA ANA, CALIFORNIA AND NAPHCARE, INC. <br />THIS AGREEMENT is made and entered into this 19`x' day of September, 2017, by and <br />between NaphCare, Inc., an Alabama corporation (hereinafter "Contractor"), and the City of Santa <br />Ana, a -charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. On April 17, 2017, the City issued Request for Proposal ("RFP) No. 17-051 by which it <br />sought proposals from qualified vendors for providingbasic and emergencyinmate medical <br />services for the City. Two vendors responded to this RFP. <br />B. Contractor represents that Contractor is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. TERM <br />This Agreement is for a two (2) year term and shall commence on October 1, 2017 and <br />terminate on September 30, 2019, unless terminated earlier in accordance with Section 18, below. <br />Said Agreement may be tenewed for three (3) one (1) year renewal years. <br />2. SCOPE OF SERVICES <br />Contractor shall provide basic and emergency medical services to inmates at the Santa Ana <br />Jail ("Jail") as outlined in Section five (5) and set forth in Contractor's proposal attached hereto <br />and marked as Exhibit A, and incorporated herein by reference. Contractor's proposal is also <br />incorporated by reference as though fully set forth herein. Contractor's responsibility shall only <br />be applicable to inmates that are physically located and booked into the Jail. Said inmate must be <br />part of the average daily population ("ADP") in order for Contractor to maintain any responsibility <br />for basic and emergency medical services. <br />3. PERSONNEL <br />A Staffing. Contractor will provide medical, mental health, dental, technical and <br />support personnel necessary for the rendering of health care services to inmates as contemplated <br />herein. The health care staff will be at levels consistent with those identified in Exhibit B to this <br />Agreement. <br />25F-5 <br />
