Inmate Communications Service Agreement <br />This Agreement is made this 17th day of October, 2017, by and between Legacy Inmate <br />.Communications dba Legacy Long Distance International, Inc. ("Legacy" or the "Contractor") and <br />the City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS <br />1. On April 26, 2017, City issued Request for Proposal ("RFP") 17-052 seeking proposals <br />from qualified vendors for inmate and telephone visitation services at the Santa Ana City <br />Jail. The Jail provides housing for inmates incarcerated or detained for federal, state, and <br />immigration proceedings. <br />2. Contractor submitted a responsive proposal that was selected by the City. Contractor is <br />in the business of providing various inmate communication services and operator assisted <br />telecommunication services and will maintain the Inmate Communication Operating <br />System — iCON' . iCON� is a complete turnkey Inmate Call Management System with <br />investigative, technical, and administrative communication features. <br />3. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional inmate telephone firm. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />TERM <br />1.1 Term. This Agreement shall commence on November 1, 2017 and terminate on <br />,October 31, 2019, unless terminated earlier in accordance with Sections 1.3 and 5.1-1. <br />below. <br />1.2 Renewal Options. Upon completion of the initial two (2) year term, the City may grant <br />up to three (3) additional one (1) year renewals, exercisable by a writing by the City <br />and the City Attorney. <br />1.3 Termination: The City and/or the Contractor may cancel this agreement with orwithout <br />cause upon ninety (90) days written notification. <br />2. SERVICES PROVIDED BY LEGACY <br />Contractor shall perform these inmate telephone and visitation system services that are set forth <br />below and as stated in the Contractor's proposal, which shall be incorporated by reference to this <br />Agreement as though fully set forth herein. <br />25'd -f5 <br />
