MEDICAL SERVICES AGREEMENT WITH <br />U.S. HEALTEINVORKS MEDICAL GROUP <br />THIS AGREEMENT is made and entered into on this 5a' day of December, 2017, by and <br />between U.S. Healthworks Medical Group, a California professional corporation ("Consultant"), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. City and Consultant entered into Agreement #N-2016-070 on April 29, 2016, to provide <br />medical services for job related injuries and illnesses including for workers exposed to <br />communicable diseases. <br />B. The parties entered into a First Amendment to the Agreement (#N-2016-070-001) to <br />exercise the option to extend the agreement for one year from June 30, 2017 through June <br />30, 2018. The Agreement, by operation of the First Amendment, currently remains in <br />effect. All funds allocated to this Agreement have been exhausted. <br />C. On October 13, 2017, Governor Jerry Brown declared a state of emergency regarding an <br />outbreak of Hepatitis A. This outbreak had been also declared emergencies in neighboring <br />Los Angeles and San Diego counties. The City began to offer Hepatitis A vaccinations <br />which was met by an increased demand by Police and City staff requests for vaccinations <br />against Hepatitis A. The vaccinations require multiple shots over a six month period and <br />will benefit those City employees that work directly with or were exposed to the illness <br />due to the clean-up of and City services related to the Civic Center area. <br />D. City desires to retain the services of Consultant for the continuation of its current services, <br />treatment for job related injuries and to include vaccinations for City workers that could be <br />potentially exposed to communicable diseases, to include Hepatitis A. Consultant <br />represents that Consultant is able and willing to provide such services to the City. <br />E. Consultant was selected to provide these services based on its continuing work in <br />conjunction with the City's worker's compensation provider for industrial injuries and <br />worker's compensation claims. <br />F. The parties agree that this Agreement supersedes all prior understandings, agreements and <br />informal working arrangements between the parties and may not be amended orally, but <br />only by a writing duly executed by the parties hereto. <br />G. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />Page 1 of 9 <br />25F-3 <br />
