AGREEMENT WITH MIG, INC. TO PROVIDE PLANNING AND <br />TECHNICAL SERVICES FOR PREPARATION OF THE <br />COMPREHENSIVE GENERAL PLAN UPDATE <br />THIS AGREEMENT is made and entered into this 19TH day of December, 2017 by and between <br />MIG; Inc.; a California corporation ("Consultant"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />RECITALS <br />A. On July 6, 2017, the City issued Request for Proposal ("RFP") No. 17-082 seeking <br />consultants to provide planning and technical services for the preparation of the City's <br />comprehensive General Plan Update. <br />B. Consultant was one of three consulting firms which submitted a responsive proposal that <br />was selected by the City. Consultant represents that it is able and willing to provide such <br />services to the City including: RFP Item PS 1— Existing Land Use and Build -Out Analysis; <br />RFP Item PS3 - Green and Complete Public Realm Approach and Methodologies; and RFP <br />Item PS8 — Graphic Design and Web support services in furtherance of the General Plan <br />Update. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete RFP Items PS1, PS3 and PS8 services described and set forth in Exhibit <br />A, attached hereto and incorporated by reference. Consultant's proposal is incorporated by <br />reference as though fully set forth herein. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit B — Budget for RFP Items PSI, PS3 <br />and PS8. The total amount to be expended under this Agreement shall not exceed <br />$238,500. Consultant has the ability to adjust line item amounts in the budget with the <br />approval of the Executive Director, so long as the total budget amount does not <br />increase. <br />EXHIBIT 2 <br />Page 1 of 11 <br />25M-23 <br />`1 <br />
