IN IJRANCE o ON SOLI=: <br />WORK MAY NOT PROCEED <br />LERK OF COUNCIL <br />DATE: 19 20 <br />0:PRCS(f) <br />EDUCATION SERVICES AGREEMENT <br />N-2017-266 <br />Silvia CueVaTHIS AGREEMENT is made and entered into this 1st day of January, 2018, by and <br />between the Rancho Santiago Community College District, on behalf of Santa Ana College <br />("Provider"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The City and Provider will partner to provide Digital Media Art classes leading to <br />transferable college credit and certification and College Counselling for up to 22 youth. <br />Santa Ana College will provide the college credit training component, while the Library will <br />provide work experience and required social and educational support. <br />B. Provider represents that Provider is able and willing to provide such services to theCity. <br />C. In undertaking the performance of this Agreement, Provider represents that it is <br />knowledgeable in its field and that any services performed by Provider under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Provider shall perform those services as set forth in Exhibit A to this Agreement. <br />2. COMPENSATION <br />City agrees to pay, and Provider agrees to accept as total payment for its services, the <br />rates and charges identified in Exhibit B to this Agreement. The total sum to be expended under <br />this Agreement shall not exceed Six Thousand Eight hundred and Twenty-five Dollars and <br />Fifty -Two Cents ($6,825.52) during the teen of this Agreement. <br />3. TERM <br />This Agreement shall commence on the date first written above, and terminate on <br />December 31, 2018, unless terminated earlier in accordance with Section 12, below. The term of <br />this Agreement may be extended upon a writing executed by the Provider, as well as the City <br />Manager and the City Attorney on behalf of the City. <br />4. INDEPENDENT CONTRACTOR <br />Provider shall, during the entire tern of this Agreement, be construed to be an <br />independent contractor and not an employee of the City. This Agreement is not intended nor <br />shall it be construed to create an employer -employee relationship, a joint venture relationship, or <br />SAC-17-090 <br />
