INSURANCE ON FILE Professional Liability Insurance A-2017-347 <br />WORK MAY PROCEED required if contractor is or <br />UNTIL INS FIANCE EXPIR� employs a licensed professional <br />? t� .:.: <br />GLE(iK OF 0dCIL <br />DATE oEc Z ��MYEMENT FOR PROVISION OF GASOLINE AND DIESEL FUEL <br />TIr1I8 AGREEMENT is made and entered into this 19" clay of December, 2017 by and between <br />IPC (LISA), Inc., a California Corporation ("Contractor"), and the City of Santa Ana, a charter city <br />Rtk C°) and municipal corporation organized and existing under the Constitution and laws of the State of <br />Cali V- a ("City„). <br />r)w, W o.l <br />RECITALS <br />A. The City desires to retain a Contractor with special skill and expertise to supply the City's <br />annual gasoline and diesel fuel needs. On October 2, 2017, the City issued Request ,for <br />Proposal No. 17-108, by which it sought Contractors to provide gasoline and diesel ,fuel <br />services to the City. <br />B, Contractor submitted a responsive proposal selected by the City. Contractor represents <br />that Contractor is a wholesale distributor of diesel, gasoline, LNG/natural gas, jet fuel and <br />other petroleum products that maintains its headquarters in the City and is able and willing <br />to provide such services to the City and as described in the scope of work that was included <br />in RFP No. 17-108 and attached as Exhibit A to this Agreement. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall perforin during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to frilly <br />and adequately complete the services described and set forth in Exhibit A, attached hereto and <br />incorporated by reference. Consultant's proposal is incorporated by reference as though fully set <br />forth herein. <br />2. COMPENSATION <br />a. City agrees to pay Contractor services performed under this Agreement at the rates and <br />charges for fuel identified in Exhibit B. The total annual suns to be expended under <br />the term of this Agreement shall not exceed $950,000 during each year of the <br />Agreement. The total sum to be expended under this Agreement for the entire term <br />shall not exceed $4,750,000. <br />Page i of i 1 <br />
