TO PROVIDE <br />BALL DIAMOND MAINTENANCE SERVICES <br />` F i <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on January 16, <br />2018, by and between Professional Sports Field Maintenance, Inc., a California corporation <br />("Consultant'), and the City of Santa Ana, a charter city and municipal corporation organized <br />and existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement #A-2016-004, dated January 19, 2016 ("Agreement"), <br />by which Consultant agreed to provide in -field ball diamond maintenance services at City <br />parks in Districts 1 and 4. <br />B. The original term of the Agreement was from February 1, 2016 through January 31, 2018 <br />and provides for two (2) one-year extensions. <br />C. The parties wish to amend the Agreement to: 1) increase the scope of services at City parks <br />located in District 4; 2) increase the compensation to pay for the increased services; and 3) <br />exercise the 1st of the two (2) one-year options to extend the term of the Agreement. <br />The Parties therefore agree: <br />1. Section 1, SCOPE OF SERVICES, is amended to increase and include additional services <br />as set forth in the attached Exhibit A-1 to this First Amendment to the Agreement as they <br />pertain to District 4. <br />2. Section 2.a., COMPENSATION, is amended to include the rates and charges listed in <br />Exhibit A-1 to this First Amendment, The total annual stun to be expended under this <br />Agreement shall be increased in the amount of $21417. The sum of this amount is comprised <br />of a base amount of $19,470 and a 10% contingency of $1,947 for work assigned at the sole <br />discretion of the City. The combined total annual sum for each year under the term of this <br />Agreement shall not exceed $136,021. <br />3. Section 3, TERM: By operation of this First Amendment to the Agreement, the parties <br />agree to exercise the option to extend the Agreement for the first ofthe two (2) one-year <br />renewal options. The term of the Agreement is hereby extended €tom February 1, 2018 until <br />January 31, 2019, <br />4. Except as modified by this First Amendment, all, terms and conditions of the Agreement shall <br />remain in full force and effect. <br />[signature page to follow] <br />Page 1 of 2 <br />
