til <br />obtain concurrence of SANTA ANA prior to selection of the consultant team. <br />e. To coordinate the work effort of the PROJECT, provide the day-to-day <br />management of the consultant, and manage all consultant administration and <br />contracting. COSTA MESA shall review the consultant's invoices and pay <br />them accordingly after ensuring that the work has been satisfactorily <br />performed by the consultant. <br />f. To comply with all of the terms and conditions of its Cooperative Agreement <br />with OCTA, including the project reporting and auditing requirements <br />contained therein. <br />INDEMNIFICATION <br />a. SANTA ANA agrees to defend, indemnify, and hold free and harmless <br />COSTA MESA, its elected officials, officers, agents, employees, and <br />volunteers, at SANTA ANA's sole expense, from and against any and all <br />claims, actions, suits or other legal proceedings brought against COSTA <br />MESA, its elected officials, officers, agents, employees, and/or volunteers <br />arising out of or relating to the acts or omissions or willful misconduct of <br />SANTA ANA, its elected officials, officers, agents, employees, and volunteers <br />in connection with this Agreement. <br />b. COSTA MESA agrees to defend, indemnify, and hold free and harmless <br />SANTA ANA, Its elected officials, officers, agents, employees, and volunteers, <br />at COSTA MESA's sole expense, from and against any and all claims, <br />actions, suits or other legal proceedings brought against SANTA ANA, its <br />elected officials, officers, agents, employees, and/or volunteers arising out of <br />or relating to the acts or omissions or willful misconduct of COSTA MESA, its <br />elected officials, officers, agents, employees, and volunteers in connection <br />with this Agreement. <br />INSURANCE <br />a. SANTA ANA and COSTA MESA shall maintain and keep in full force and <br />effect during the term of this Agreement insurance or a program of self- <br />insurance against claims for injuries to persons or damages to property which <br />may arise in connection with SANTA ANA's or COSTA MESA's performance <br />of its obligations hereunder. <br />b. SANTA ANA and COSTA MESA shall require their consultants and <br />contractors performing work in connection with this Agreement to obtain and <br />maintain insurance as described below: <br />1.
