February 7, 2018 EXHIBIT A <br />luloTECHNOLOGY UNLIMITED INC <br />6802 South 2201" Bldg #2 Kent, WA 98032 <br />Phone 206.575.8544 • Fax 206.575.4602 • TUIUSA.COM <br />TECHNOLOGY UNLIMITED MAINTENANCE AGREEMENT FOR <br />CITY OF SANTA ANA <br />This maintenance agreement is entered into by and between TECHNOLOGY UNLIMITED, INC., <br />at 1179 Andover Park West, Seattle, Washington and CITY OF SANTA ANACity of Santa Ana <br />Finance Department —Treasury Division M13 20 Civic Center Plaza Santa Ana CA 92702-1964. <br />,. The parties to this contract agree as follows: <br />ARTICLE I: SCOPE OF SERVICES <br />1. This agreement shall be valid for the period indicated on the schedule of items serviced or the <br />invoice representing the charges for this agreement. <br />2. For the duration of the agreement Technology Unlimited will provide on-site service including <br />all parts, labor, and travel time necessary to repair and maintain the equipment and software in <br />good working order. This includes the performance of two preventative maintenances. <br />3. The following items are not covered by Technology Unlimited maintenance agreements and <br />will be billed at standard Technology Unlimited time and material rates: <br />a) Consumable supplies such as paper, toner, ink, ribbons, drums, or any other item <br />specifically listed by the manufacturer as a consumable supply item. <br />b) Any service or repair required due to accident, operator negligence, natural disaster, <br />terrorism, civil disorder, war, unauthorized modification, relocation of equipment, or other acts <br />of use outside of the manufacturer's recommendations. <br />c) Reconditioning of equipment that has reached the end of its useful life. <br />d) Any repair as a result of environmental problems such as excessive dirt, dust, power failure, <br />heating or air conditioning failure. <br />e) Any event outside the control of Technology Unlimited that may impact our ability to service <br />the equipment such as discontinuation of spare parts or support by the OEM, bankruptcy or <br />insolvency of the OEM, or other factors beyond the control of Technology Unlimited. <br />f) Reprogramming of equipment <br />g) Repairs or changes required by endorsement changes, name changes, or other causes that <br />require repair for reasons other than the mechanical failure of the equipment covered by this <br />agreement. <br />4. Service hours are 8am to 5pm Monday through Friday excluding holidays unless otherwise <br />indicated within the agreement or invoice for services. Technology Unlimited Inc. will provide a <br />response time of no less than four hours for a service call. <br />5. Technology Unlimited and its officers and employees shall be held harmless for any and all <br />loss, damage, injury or other misfortune, direct or consequential to the customer, their <br />employees, agents, and third parties which may arise as a result of the performance of any <br />EXHIBIT A <br />
