XIEED <br />UN11 VMStlRAN `e LXPir s <br />1- <br />ci.l�t�orccu wit <br />mrE: <br />A R 0 2 281kGREEMENT TO PROVIDE AN eBOOK CONTENT PLATFORM <br />FOR THE SANTA ANA PUBLIC LIBRARY COLLECTION <br />511VLA Cti i <br />THIS AGREEMENT is made and entered into this 20th day of February, 2018 by and between <br />OverDrive, Inc., a Delaware corporation ("Consultant"), and the City of Santa Ana, a charter city <br />and municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />A. On December 14, 2017, the City issued a Request for Proposal ("RFP") No. 17-141, by <br />which it sought a consultant to provide an eBook content platform and electronic resource <br />content for the Santa Ana Public Library collection and compatible with its integrated <br />library system. <br />B. Consultant submitted a responsive proposal that was selected by the City. Consultant <br />represents that Consultant is able and willing to provide the services described in the scope <br />of work that was included in RFP No. 17-141 and further delineated in Exhibit A. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform the services that are described in Exhibit A including but not <br />limited to hosting a digital online c-library providing e-books in both English and Spanish, audio <br />books in both English and Spanish, streaming videos, young adult content and teen content. <br />Consultant's proposal dated December 29, 2017 and is incorporated by reference as though fully <br />set forth herein. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exbibit B. The total amount to be expended <br />during the term of this Agreement shall not exceed $108,000. The annual amount to <br />be expended shall not exceed $36,000 which entails a, $6,000 yearly hosting fee and <br />$30,000 per year for content. <br />b. Consultant agrees and understands that the continuation of this Agreement for years 2 <br />and 3 is contingent upon the City obtaining available funding for these services. Should <br />funding not become available, the Agreement is subject to termination as detailed <br />below in Section 15. <br />Page I of 8 <br />
