INSURANCE NOT ON HLE A-2018-012 <br />WORK MAY DTT PROCEED <br />CLERK OF COUNCIL, <br />DATE: FEB 16 2018 FOOD SERVICE CONCESSIONS AGREEMENT <br />� t - <br />L5 wWITH KNOWLWOOD ENTERPRISES <br />S `V'6 C�4+r ,THIS AGREEMENT is made and entered into this 16th day of January, 2018 by and between <br />Knowlwood Enterprises, Inc., a California Corporation ("Concessionaire"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a Concessionaire having special skill and knowledge in the field <br />of foods service concessions for the Santa Ana Zoo comparable with "high level' industry <br />practice. <br />B. Concessionaire has provided said services to the City since January 2011 and represents <br />that it is able and willing to provide such services to the City. <br />C. City and Concessionaire agree to a limited term agreement for said services similar to the <br />prior Agreement and extensions exercised under Agreement No. A-2010-039. <br />D. In undertaking the performance of this Agreement, Concessionaire represents that it is <br />knowledgeable in its field and that any services performed by Concessionaire under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional food service operator in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Concessionaire shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />in the attached Scope of Services identified as Exhibit A, attached hereto and incorporated by <br />reference. <br />2. COMPENSATION <br />In consideration for the concession rights granted by this Agreement, Concessionaire <br />agrees to pay the city a monthly concession fee of $2,800 per month, in advance. The payment is <br />due on the 15` of each month. For the initial month only, services for a partial month shall be <br />prorated on a daily basis. A 3% late fee will be added if payment is not received by the 10"' of the <br />month. <br />Page 1 of 9 <br />
