9.19 Authority to Execute Agreement. The persons executing this Agreement and the <br />instruments referenced herein on behalf of City and Mendez hereby represent and warrant <br />that such persons have the right, power and authority to bind City and Mendez, <br />respectively. Mendez shall indemnify City fidly, including reasonable costs and attorney's <br />fees, for any injuries or damages to City in the event that such authority or power is not, in <br />fact, held by the signatory or is withdrawn. <br />9.20 Counterparts.
