<br />The City of Santa Ana, a charter city and rnWrilcipal corporation duly organized and
<br />existing under the Constitution and laws of the State of California, does hereby grant to
<br />Dianne Rose Mendez and Javier Mendez (collectively, "I'VIendez"), the right to enter the
<br />properties located at 510-518 N. Bristol Street, Santa Ana, County of Orange, as shown
<br />in Exhibits A-1 through A-3, attached hereto an,! incorporated herein by reference
<br />("Property"), for the following purposes:
<br />The right to enter the PCOPerty for the PUrpose(s) of conducting preliminary
<br />engineering and architectural analysis for the purpose of developing the
<br />site and submitting site plans to the Clity's Planning, Department, in
<br />accordance with the separate Agreement for Exchange of Real Property
<br />between the parties, No. A. 2018-036.
<br />Mendez agroes to indealt-lify, defend, and hold harl-filess City, its officers, agents,
<br />wprosentatives, employees, and voklrt,ePtS from and againsi any and all actions, suits,
<br />claims, demands, jUdginonts, losses, expenses, or liabilities, injUrieS and damages to
<br />persons and property, including death, arising out of or redaloO to Mendez's use of the
<br />Property or the entry by any Mendez party on the Property, inc iudinci without limitation,
<br />I'Viendez's g00StS and invitees. Mendez further agrees to repair any damage to the
<br />Property caused by the exercise of this Right of Entry at their sole cost and expense
<br />and to restore said property to the state in which it existed prior to its use.
<br />Mendez shall maintain commercial general liability insurance which shall include, but
<br />not be limited to, protection against claims arising from bodily and personal injury,
<br />including death resulting therefrom and damage to property, resulting from any act or
<br />occurrence arising out of their use of the Property, including, Without limitation, acts
<br />involving vehicles, The amounts of insurance shall be not less than the following: single
<br />lirnit coverage applying to bodily and personal Injury, including death resulting
<br />therefrom, and property damage, in the total arnount of $41,000,000 per occurrence and
<br />$2,000,000 in the aggregate. Such insuranoo shall (a) name the City, its officers,
<br />employees, agents, volunteer and representatives as additional insured(s); (b) be
<br />primary and riot cont0butory with respect to insurance or self-insurance programs
<br />maintained by the City; and (c) cortialn standard separation of insureds provisions,
<br />The rights herein granted to Mendez are exclusive, and Mendez agrees not to assign,
<br />transfer, lease, pledge, or otherwise dispose of this Right of Entry without the prior
<br />express written approval of a,ie City, This instrument convoys right of entry to existing
<br />buildings, if any.
